Terms of Service – Pilot Program Agreement

These Terms of Service govern the private pilot program for Boostra. The Services described herein are currently in a testing phase and are available only to selected, authorized users. They are not publicly available yet. Your use of the Services indicates your acceptance of these Terms, including the conditions specific to this pilot phase.
Boostra Sp. z o.o. ("Boostra", "Company") provides its software services (the "Services") through its website and other interactive properties (collectively, the "Site"), subject to these Terms of Use.
1. Service Scope and Agreement
1.1. Description of Boostra Services
Boostra functions as an AI-powered assistant tailored for online store owners. The service integrates and analyzes data sourced from various platforms. The core function of the Services is to generate audit reports, perform store health checks, and provide actionable recommendations aimed at enhancing marketing and sales performance. Services include any content or function Boostra offers or performs for you through the Site.
1.2. Acceptance of Terms
This legal agreement is formed between you and Boostra. These terms and conditions, along with any documents incorporated by reference (the "Terms of Use"), govern your access to and operation of the Services. By accessing or using the Services and the Site, you confirm your acceptance and agree to abide by these Terms of Use and our Privacy Policy. If you are representing a business entity, that entity also agrees to these Terms of Use.
1.3. Modifications to the Terms
Boostra reserves the right to update and modify these Terms of Use at its sole discretion. Boostra will use commercially reasonable efforts to provide users with prior notice of any material amendments. Changes will be indicated by revising the "Last updated" date at the top of the page, or by notification via email or the Services' interface. Changes will generally take effect no earlier than fourteen (14) days after posting, unless they involve new service functions or are required for legal compliance, in which case they are effective immediately. Your continued use of or access to Boostra following any such amendment constitutes your binding agreement to the revised Terms.
2. Access and Account Management
2.1. Service Availability and Termination Rights
Boostra may temporarily or permanently modify or discontinue the Services, or any part thereof, with or without notice. We are not liable if the Services become unavailable for any duration. Boostra reserves the right to limit access to any part of the Services, including for registered users. We may disable your username, password, or any identifier at any time if we believe, in our sole discretion, that you have violated these Terms of Use. The Services are available only to users who are 18 years of age or older.
2.2. Registration and Security
To utilize certain Services, you must provide requested registration details. You commit to providing and maintaining information that is true, accurate, current, and complete. If Boostra suspects the information provided is inaccurate or incomplete, we retain the right to suspend or terminate your account and refuse future use of the Services. All registration information is handled according to our Privacy Policy, and you consent to our actions regarding your data consistent with that policy.
You are responsible for keeping your login credentials confidential. You acknowledge that your account is intended for your personal use, and you agree not to share access to the Services using your login information. You are solely accountable for all activities executed via your account. Boostra is not responsible for any damage or loss resulting from your actions or omissions related to account security.
3. User Obligations and Compliance
3.1. Restrictions on Use
The Site and the Services are provided solely for your personal and non-commercial purposes. You agree not to reproduce, copy, publish, perform, license, sell, resell, or otherwise exploit any part of the Service for commercial purposes without prior written authorization from Boostra. The Service is not intended as a permanent storage solution for your content (data, images, videos, etc.), and you must retain your own backups.
3.2. Mandatory Compliance and Prohibited Activities
By establishing connections with external services (e.g., Meta, TikTok, WooCommerce), you confirm your understanding and agreement that Boostra must adhere to all relevant terms and policies established by those platform providers. You are also required to comply with all applicable local, state, national, and international laws and regulations.
You agree not to use the Services for any unlawful or prohibited activity. Prohibited uses include, but are not limited to:
- Violating any applicable law or regulation.
- Engaging in abusive, harassing, threatening, or impersonating behavior toward any person.
- Uploading, posting, or transmitting content that is unlawful, defamatory, violent, inflammatory, hateful, or otherwise objectionable.
- Infringing upon the patent, trademark, copyright, or other intellectual property or privacy rights of any third party.
- Using the Services to promote illegal activities or assist in unlawful acts.
- Sending or procuring the transmission of unsolicited promotional material ("spam," "junk mail," "chain letter").
- Creating multiple accounts to artificially manipulate metrics such as "likes" or comments, or participating in organized efforts to alter service results.
- Using automated devices (like robots or spiders) to access the Services for unauthorized purposes, including copying or monitoring content.
- Introducing malicious software, including viruses, logic bombs, or worms.
- Attempting to disrupt or gain unauthorized access to the Services, servers, or other users' private accounts.
4. Intellectual Property and Licensing
4.1. Boostra's Proprietary Rights
All software, AI models, and underlying algorithms employed by Boostra remain the exclusive property of Boostra Sp. z o.o.. The Services, along with all associated features, text, software, and design, are owned by Boostra, its licensors, or other providers, and are protected by applicable intellectual property laws.
The Boostra name, logo, product, and service slogans are trademarks of Boostra or its affiliates. Use of these marks without prior written permission is prohibited.
4.2. User Content and License Grants
Users maintain ownership of all materials, data, content, and images supplied through integrations.
To the necessary extent required for Boostra to operate the service and comply with agreements with integrated platforms, you grant Boostra a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, use, distribute, modify, copy, and create derivative works of any data or content you make available ("Your Content"). This license is granted solely for the purpose of operating, providing, or improving Boostra's service.
Additionally, you grant Boostra a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use your name, trademarks, and logos for distribution, marketing, and promotional purposes related to your use of Boostra and its integrations.
4.3. Protecting Third-Party Rights (DMCA)
You warrant that you have secured all necessary rights to grant the licenses mentioned above. You agree not to provide content that violates the rights of any person or third party. If your use involves content from other parties, you are responsible for maintaining an appropriate notice and takedown procedure and complying with all relevant infringement laws, including the Digital Millennium Copyright Act (DMCA) if applicable.
Boostra respects intellectual property rights. If you believe content on the Site infringes your copyright, you may submit a takedown notice to our designated Copyright Agent (kontakt@boostra.pl). Such notice must include: identification of the work, location of the infringing material, your contact information, a statement of good faith belief regarding unauthorized use, and a sworn statement confirming the accuracy and your authority to act on behalf of the copyright owner. Boostra reserves the right to immediately terminate the account of any user subject to repeated infringement notifications.
5. Data Handling and Retention
Boostra maintains records of session data and chat history associated with the user's account to ensure continuity of service, allowing returning users to review previous reports and continue interactions. Data is retained only for the period necessary to deliver the service or until the account is deleted. We generally retain your personal data for up to 90 days after the cessation of your service use, for legitimate interests such as fraud prevention, legal compliance, and record-keeping.
6. Financial Terms and Subscriptions
Boostra offers both complimentary and paid subscription tiers. Paid plans utilize recurring billing (either monthly or yearly) until the user cancels. All applicable fees are clearly presented prior to purchase. You authorize Boostra to charge your selected payment method for the Services.
Users may cancel subscriptions at any time via their account settings. Access to paid features continues until the end of the current billing cycle. No refunds are provided for partially used periods unless mandated by applicable law. If a subscription is canceled, renewal ceases, but previously paid subscription fees are non-refundable. Boostra reserves the right to change fees or begin charging for previously free services at its sole discretion.
7. Termination and Enforcement
7.1. Termination by Boostra
Users may cease using Boostra at any time. Boostra reserves the right to suspend or permanently terminate a user's access if that user violates these Terms or uses the system in a manner that compromises the security of Boostra or other users. Boostra may also terminate access if you fail to pay due fees or are suspected of fraudulent or illegal activities. Any such termination may occur without prior notice, and Boostra may immediately deactivate or delete your account and associated data.
7.2. Enforcement
Boostra may remove content or take action against any material that we deem necessary or appropriate, particularly if it violates these Terms, infringes on intellectual property rights, or threatens security. We retain the right to disclose your identity or information to any third party claiming that material posted by you violates their rights.
You agree to hold harmless the Company and its providers from any claims resulting from actions taken during or as a consequence of investigations by us or law enforcement authorities.
8. Liability and Risk
8.1. Disclaimer of Warranties
Boostra's analyses and recommendations are generated exclusively based on data provided or authorized by the user and on generally accepted industry standards. While Boostra strives for accuracy and reliability, all Services are provided on an "as available" basis without any guarantee that results will be error-free or meet the user's expectations. The user remains solely responsible for all business decisions and actions taken based on Boostra's recommendations.
8.2. Limitation of Liability
To the extent permitted by applicable law, Boostra Sp. z o.o., its affiliates, and its employees shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, business interruption, data loss, or reputational harm arising from the use or inability to use the Service. Boostra's total liability for any claims arising under these Terms shall not exceed the total amount paid by the user for the Services during the three (3) months preceding the claim.
Nothing in this Terms shall limit liability where it cannot be excluded under mandatory law (including liability for willful misconduct or gross negligence).
8.3. Indemnification
You agree to indemnify, defend, and hold harmless Boostra, its affiliates, officers, and service providers from and against all claims, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms of Use or your use of the Service. Specifically, you agree to indemnify and hold Boostra Sp. z o.o. harmless from and against all damages, losses, and expenses of any kind related to any dispute brought against it concerning your use of the Boostra service, your content, or your actions in connection with data processed via integrated channels.
9. Miscellaneous Provisions
9.1. Governing Law and Jurisdiction
These Terms of Services and any disputes related to them shall be governed by and construed in accordance with the laws of Poland. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the common courts located in Wrocław, Poland.
9.2. Claim Filing Deadline
Any claim or cause of action related to these Terms of Use or the Service must be initiated within one (1) year after the cause of action arises; otherwise, that claim or cause is permanently barred.
9.3. Entire Agreement and Severability
These Terms of Use constitute the complete and exclusive agreement between you and Boostra regarding the Services, superseding all previous communications and agreements. If any provision within these Terms is found by a competent court to be illegal, invalid, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, ensuring the remaining provisions remain in full effect.
